1. Agreement
These Terms of Service ("Terms") govern your access to and use of AgentGold ("Platform"), a marketplace for PII-scrubbed AI-agent session logs operated by HeyMall, Inc., a Delaware corporation (operating AgentGold) ("we," "us," "AgentGold"). By creating an account or using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
2. Definitions
- Trace: a PII-scrubbed AI-agent session log uploaded by a Seller.
- Seller: a person who uploads Traces to the Platform.
- Buyer: a company or individual who purchases a license to one or more Traces.
- Scrubber: the local skill provided by AgentGold that removes personal information from a log before upload.
- Sample: up to three short excerpts from a Trace made available to Buyers before purchase.
- Wallet: the prepaid credit balance maintained on the Platform for Buyers; also the earned balance credited to Sellers.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract under the laws of your jurisdiction. By using the Platform you confirm this. We do not knowingly allow persons under 18 to use the Platform.
4. Accounts
You are responsible for maintaining the security of your credentials and for all activity under your account. You may not share your account. Notify us immediately at [email protected] if you believe your account has been compromised.
5. The Marketplace
AgentGold connects Sellers who have AI-agent session logs with Buyers—AI research labs and companies—who want real-world agent behavior data for research and model development. The process is:
- Sellers run the Scrubber on their logs, provide metadata and labels, and list Traces. In Auto mode, uploads are private drafts for 48 hours; anything the Seller does not delete in that time is listed (Seller Agreement, Section 3A).
- Buyers browse metadata, labels, and Samples, then purchase a per-trace or bundle license.
- AgentGold stores Trace contents sealed. We do not open Trace contents except for automated processing and, when a complaint is filed, targeted abuse review.
5A. Real Names and Gold Sellers
Every account signs in with LinkedIn. Seller accounts are real-name: buyers see the seller's LinkedIn name and photo, and any background the seller adds. Sellers with real traction (published on the platform) may apply for the Gold badge. Gold requires a complete profile, a passed ID check run by Stripe Identity, and a manual review of the seller's background by AgentGold. Gold sellers are prioritized for buyer discovery and selection. AgentGold may remove Gold if information turns out to be inaccurate or the ID check is deleted.
6. Seller Terms
If you sell Traces, the Seller Agreement at seller-agreement.md is incorporated into these Terms by reference and governs your contributions.
7. Buyer Terms
If you purchase Traces, the Buyer License at buyer-license.md is incorporated into these Terms by reference and governs your use of purchased Traces.
8. Payments and Fees
Buyer wallet. Buyers fund a prepaid wallet by card through Stripe or by invoice. Funds in the wallet are not bank deposits and earn no interest.
Purchases. When a Buyer purchases a Trace, the price is debited from their wallet. The full price is credited to the Seller's balance at the moment of purchase; AgentGold takes no commission on sales.
Seller payouts. Sellers may request a payout once their balance reaches the minimum threshold (currently $15). Payouts are processed manually via PayPal, bank transfer, or USDC, typically within 10 business days. Each payout carries a processing fee (currently 2.9% + $0.30 of the payout amount), paid by the Seller and deducted from the amount sent; the fee is shown before you confirm. Buyers pay no fee on wallet top-ups. Seller balances are liabilities of HeyMall, Inc., a Delaware corporation (operating AgentGold) and are not bank deposits.
Taxes. Sellers are solely responsible for all taxes owed on their earnings. We may request a completed W-9 (US persons) or W-8BEN/W-8BEN-E (non-US persons) before releasing funds.
No refunds. Purchases are final once a Buyer has been granted access to a Trace. Refunds are at operator discretion, including in connection with a takedown.
9. Takedowns and Removal
Any Seller or affected individual may request removal of a Trace by emailing [email protected] with a description of the content and the basis for the request. Upon a valid request:
- We delist the Trace and suspend new sales.
- We notify active Buyers within a reasonable time.
- Buyers must delete all copies within 14 days of notice.
- Refunds for the removed Trace are at operator discretion.
AgentGold is not liable for harm occurring between the date of upload and the date of a successful takedown.
10. Prohibited Conduct
You may not:
- Upload, sell, or use Traces in violation of any applicable law or third-party rights.
- Attempt to re-identify any individual from a Trace.
- Circumvent the Scrubber or upload a log that has not been fully scrubbed.
- Upload content that belongs to your employer or a client without their express written permission.
- Use Trace data to target, profile, contact, or harass any individual.
- Resell, sublicense, or redistribute raw Trace content.
- Use the Platform for purposes subject to export-control restrictions where your use or the recipient's location would require a license you have not obtained.
11. Intellectual Property
AgentGold's interface, branding, and software are owned by HeyMall, Inc., a Delaware corporation (operating AgentGold). Sellers retain ownership of their underlying logs. The licenses AgentGold and Buyers receive are defined in the Seller Agreement and the Buyer License respectively.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." AGENTGOLD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TRACES ARE SELLER-PROVIDED CONTENT; AGENTGOLD DOES NOT VERIFY THEIR ACCURACY, COMPLETENESS, OR SCRUBBING QUALITY. YOUR USE OF ANY TRACE IS AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTGOLD'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO OR RECEIVED FROM AGENTGOLD IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT IS AGENTGOLD LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT AGENTGOLD WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to defend, indemnify, and hold harmless HeyMall, Inc., a Delaware corporation (operating AgentGold) and its officers, employees, contractors, and agents from any claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) Traces you upload; (c) your breach of these Terms; or (d) your violation of any third-party rights.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules.
Any dispute arising under or related to these Terms that cannot be resolved through good-faith negotiation will be submitted to binding arbitration administered by JAMS under its applicable rules, seated in San Francisco, California. The arbitrator's award will be final and binding. Each party waives any right to a class action or class arbitration. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Regardless of the arbitration clause, you may pursue small claims in a court of competent jurisdiction.
16. Changes to These Terms
We may update these Terms at any time. For material changes, we will email registered users and post a notice on the Platform at least 14 days before the new Terms take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
17. Termination
We may suspend or terminate your account at any time for breach of these Terms or for any other reason at our discretion, with or without notice. You may delete your account at any time by contacting [email protected]. Sections 8 (outstanding payment obligations), 12, 13, 14, and 15 survive termination.
