Seller Agreement

This Seller Agreement governs your contribution of Traces to the AgentGold marketplace. By uploading any Trace you accept this Agreement in addition to the AgentGold Terms of Service.

1. What You Are Uploading

A "Trace" is a log of an AI-agent session—for example, a Claude Code, Codex, Hermes, Cursor, or comparable harness session—that you have processed with the AgentGold Scrubber skill to remove personal information before upload. Along with the Trace you provide structured metadata and labels describing the session, and optionally up to three short sample excerpts ("Samples") to help Buyers evaluate the Trace before purchase.

2. Scrubber Requirement

You must run the AgentGold Scrubber on every log before uploading. The Scrubber is designed to remove emails, phone numbers, IP addresses, API keys and tokens, card numbers, Social Security numbers, home-directory usernames, images, and any names or patterns you have added to your personal removal list.

You remain responsible for the right to share the content; you can inspect the complete processed session and refuse its sale. Automated checks may reject a file that still contains detectable sensitive information. Uploading a log that you know still contains personal information or confidential data violates this Agreement.

3. Upload Modes

Auto mode (the default; shown as Auto sharing on). When you install the Scrubber in Auto mode, you authorize it to run on a weekly schedule on your machine, select every log that meets the platform's published selection policy, remove personal information locally, and upload the scrubbed Trace together with its labels and Samples. You can see the policy at any time on the platform. The platform's default pricing schedule applies unless you change the price.

Pause uploads. Turning Weekly uploads off stops future automatic uploads. Existing private drafts retain their notification period and live sessions stay on sale until you refuse them. Manual web uploads and bundles are not part of the current seller experience.

3A. Review Window and Consent by Inaction (Auto mode)

This section applies to every Trace uploaded automatically.

  1. Private draft. Each automatically uploaded Trace is stored as a private draft. Only you can see it. No Buyer can see, search, sample or buy it while it is a draft.
  2. 48-hour review window. You have 48 hours from the email notification time shown on your dashboard (the "Review Window") to look at each draft and to edit, delete, or publish it early. Deleting a draft permanently removes it from AgentGold.
  3. Notice. For each upload batch we email you a notice with its deadline and a way to refuse individual sessions or the batch. We also show the sessions in Earn. Notification failures are retried automatically; a draft does not become available by inaction before the notice has been sent and the notification period has ended.
  4. Consent by inaction. If you do not refuse a draft before the Review Window ends, you are treated as having approved that Trace for listing, with the same effect as if you had listed it yourself. At that moment the Trace becomes visible to Buyers, and the licenses in Sections 6 and 7 apply to it.
  5. Automatic privacy processing. The Scrubber removes personal information locally. Sessions that cannot be safely processed stay local for automatic retry rather than waiting for your manual approval. Personal subject matter alone does not require separate approval. We may also extend the Review Window, for example during a platform outage, but we will never shorten it below 48 hours without your agreement.
  6. Your separate agreement to this process. You agree to this Section 3A separately, by choosing Agree and copy during setup or accepting the rule when you enable Weekly uploads. We record the date and the version of this Agreement you accepted. You may stop future automatic uploads at any time by turning Weekly uploads off. To stop future sales of already uploaded sessions, refuse those sessions in Earn.
  7. After listing. Section 4 still applies: you can withdraw any unsold Trace at any time. Copies already sold stay with their Buyers.

4. Withdrawal of Listings

You may withdraw any unsold Trace from the marketplace at any time by delisting it through your account settings. Once delisted, the Trace no longer appears in search results and no new purchases are accepted. Copies already delivered to Buyers under a completed purchase remain with those Buyers under the terms of their Buyer License. You cannot recall delivered copies, but Buyers become subject to deletion obligations if a valid takedown notice is issued under Section 9 of the Terms of Service.

5. Your Warranties

By uploading a Trace, you represent and warrant that each of the following is true:

Ownership. You own the Trace, or hold the right to sell it. It is a log of agent sessions you ran yourself, on your own device or account, for your own work or for work you are authorized to share. You may not upload another person's sessions, logs you obtained from someone else, or logs from a product's users unless you are that product's operator and those users agreed to the sale. We may ask you to show that you own a Trace, and we may remove Traces and withhold related earnings if you cannot. If you upload a Trace you do not own or have no right to sell, we will pursue our legal remedies against you, including claims for damages, and you will indemnify AgentGold and affected Buyers for any resulting losses, claims and costs, including reasonable legal fees (see Section 14 of the Terms of Service).

No confidential third-party information. The Trace does not contain trade secrets, confidential information belonging to any third party, or material covered by a non-disclosure agreement you have signed.

No customer data or employer data. The Trace does not contain personal data of any third party who is a customer or user of a product or service, nor data belonging to your employer or any client that you are not authorized to share outside your organization. If you performed the agent session in the course of employment or contract work, you have obtained express written permission from your employer or client to upload it.

Automatic processing and right to refuse. You authorize local privacy processing and automatic uploads. You may read your complete processed session and refuse it in Earn; viewing or approving every session is not required.

Age. You are at least 18 years old.

These warranties survive termination of your account. A breach of any warranty may result in suspension, removal of your Traces, forfeiture of unpaid balances related to the breaching Trace, and potential legal liability.

6. License Grant to AgentGold

By uploading a Trace you grant HeyMall, Inc., a Delaware corporation (operating AgentGold) a worldwide, perpetual, royalty-free, sublicensable, and transferable license to:

  • Store, process, encrypt, back up, and display the Trace metadata, labels, and Samples on the Platform.
  • Deliver the Trace to Buyers who complete a purchase.
  • Use aggregated or derived data from Traces (not raw Trace content) to operate, improve, secure, and promote the Platform and related services.

AgentGold does not acquire ownership of your Trace and does not use raw Trace contents for purposes other than delivery and the automated processing described in this section.

7. License Grant to Buyers

When a Trace is listed under Section 3A or your explicit early-listing action, you authorize AgentGold to grant each purchasing Buyer a non-exclusive (or, if sold as exclusive, an exclusive-among-buyers) license under the terms of the Buyer License. You receive no additional approval right over individual sales once a Trace is listed.

8. Earnings and Payouts

Payout processing fee. Each payout is reduced by a processing fee, currently 2.9% + $0.30 of the payout amount, which you pay. Your dashboard shows the exact amount you will receive before you cash out.

You receive the full sale price of each Trace. AgentGold takes no commission on sales. The amount is credited to your Seller balance at the moment of purchase.

You may request a payout once your balance reaches the minimum threshold of $15. Smaller balances stay in your account and carry over until they reach it. Payouts are made via PayPal, bank transfer, or USDC, typically within 10 business days of a request. You are solely responsible for reporting and paying all taxes, including income taxes, self-employment taxes, and any applicable sales taxes, on amounts received. We may require a completed IRS Form W-9 (US persons) or W-8BEN/W-8BEN-E (non-US persons) before releasing any funds, and may withhold taxes as required by law.

9. Pricing

Each Trace has one price: the lowest amount you accept for it ("Your price"), between $0.50 and $100. You can set a default price for new automatic uploads; if you set none, AgentGold suggests a price for each Trace, currently $0.50–$5. You can change the price of any Trace at any time. A change applies only to sales after you save it.

9A. Requests and Automatic Sales

A Buyer may post a request with a price per Trace. When one of your live Traces matches a request whose price is at or above your price, the Buyer may buy it immediately, at the request's price, without asking you first. Each such sale is final and is credited exactly like any other sale under Section 8. Drafts that are still in their Review Window (Section 3A) are never sold this way.

10. Cooperation on Takedowns

If AgentGold receives a complaint or takedown request related to a Trace you uploaded, you agree to cooperate with our review, provide information we reasonably request, and refrain from re-uploading removed content while a review is open. If we determine the Trace contains data you had no right to share, we may remove it, suspend your account, and withhold unpaid balances related to that Trace pending resolution of any claims.

11. No Circumvention

You may not attempt to upload unredacted logs, game or disable the Scrubber, or submit content you know or reasonably should know contains material you are not authorized to share. Circumvention is grounds for immediate account termination.

12. Product Companies Supplying Their Users' Traces

This section applies if you are a company that operates an AI agent product and supplies Traces generated by your product's users (a "Supplier"), including through the supplier list at /suppliers. It adds to the rest of this Agreement.

  1. Your users' agreement. You may supply a Trace only if the user who generated it agreed, before the Trace was created, to terms or a clear opt-in that allows you to share or sell de-identified session data to third parties for AI research and model development. You keep a record of that agreement for each Trace, and you give it to us within 10 business days if we ask.
  2. De-identification. You remove personal information before upload, including names, email addresses, phone numbers, postal addresses, account and payment identifiers, credentials, API keys and IP addresses, and anything else that identifies your users or their customers. Our scrubber is an extra check. It does not replace yours.
  3. Excluded data. You do not supply Traces from users you know or have reason to believe are under 16, Traces containing health, biometric, financial-account, government-identifier or other sensitive data as defined by applicable law, or Traces your users have asked you to delete or not to sell.
  4. Privacy law. You are responsible for meeting the laws that apply to you and your users, including notice, consent, opt-out and "sale" or "sharing" rules under laws such as the GDPR, the UK GDPR and the CCPA/CPRA. AgentGold acts on the Traces as you deliver them and does not take on your obligations to your users.
  5. Notifications. If you join the supplier list, we email the address you gave us each time a buyer posts a request. You can leave the list at any time with the one-click link at the bottom of every notification.
  6. Responsibility. If a Trace you supply breaks this section, we may remove all of your Traces, withhold unpaid earnings related to them, and end your access. You indemnify AgentGold and affected Buyers against any losses, claims, fines and costs, including reasonable legal fees, arising from the breach, and we will pursue our legal remedies against you.

Gold Sellers

  1. Who can apply. The option appears only after you reach the traction threshold shown on your profile (for example, a number of live Traces or a first sale). Nothing in this section applies until you choose to apply.
  2. What you provide. A headline, a LinkedIn profile link, a background description and highlights. You warrant that they are true and current.
  3. ID check. You authorize an identity check by Stripe Identity (government ID and selfie). AgentGold receives only the result and the name on the ID, and compares it with your LinkedIn name. You can delete the ID check at any time; doing so removes Gold.
  4. Review. AgentGold reviews your background manually and may approve, decline or later remove Gold, for example if information is inaccurate or out of date. Editing a Gold profile sends it back for review.
  5. Effect. Gold sellers are listed first. On first approval, prices of your unsold drafts and listings are raised once by the published Gold multiplier (capped at $100 per Trace), and future automatic uploads are priced with the multiplier. You can change any price afterwards.
